Clavell Capital Limited (“Clavell”), a 100% New Zealand owned corporate advisory business, specialises in advising on mergers, acquisitions and divestments as well as raising capital for medium to large business entities, both listed and unlisted.
It also offers these specialties to smaller businesses. Where applicable, Clavell personnel operate, in accordance with the Real Estate Act 1976, through Business Sales Limited MREINZ. Further, Clavell is involved in the New Zealand share market, primarily as sponsor to new listings on NZAX and also acting in takeovers, rights issues and share placements as well as advising clients on annual report content and share market announcements. Clavell does not offer advice to the public rather it deals with those entities or persons who can prove that they are either a habitual investor or an eligible person in terms of and for the purposes of the Securities Act 1978. The name Clavell Capital dates back to 1989.
Clavell’s full range of corporate advice also includes leveraged and management buy-outs or buy-ins and corporate restructurings. While Clavell acts predominantly on behalf of New Zealand clients it has acted for offshore clients particularly in the USA, Australia and Asia. Clavell works in association with clients’ existing legal, accounting and/or other advisors in order to enhance the value of the particular transaction being undertaken.
From time to time Clavell is called upon to provide independent reports for boards of directors as required under both NZX rules and New Zealand company legislation. It also prepares valuations as required for various parties such as owners, lenders (including banks) and potential owners or lenders.
